Terms of Service

Last updated: October 30, 2026

These Terms of Service (the “Terms”) are an agreement between [Company legal name] (“LayerPlans”, “we”, “us”) and the company or other organization that signs up for LayerPlans (the “Customer”, “you”). They apply to the LayerPlans web application at app.layerplans.com, its related websites and support (together, the “Service”). The person who accepts these Terms confirms that they are allowed to bind the Customer.

If you and LayerPlans have signed a separate written agreement (for example for an Enterprise plan), that agreement takes priority where it differs from these Terms.

1. The Service

LayerPlans lets property teams keep buildings, floors, spaces, tenants, leases, deals and documents in one place, see them as stacking plans and figures, share read-only links and receive alerts. We may improve, add or change features over time. We will not remove a core feature you are paying for without telling you at least 30 days in advance.

2. Accounts, users and licenses

  • Each person signs in with their own account. Accounts are personal and may not be shared.
  • The Customer's owners and admins invite people, assign licenses and decide which buildings each person can open. Only licensed people may open the Customer's data. The number of licensed users is limited by your plan, and extra users are charged as described in your plan.
  • You are responsible for everything done under your company's accounts, for keeping sign-in details safe, and for removing people who should no longer have access. Tell us straight away at support@layerplans.com if you think an account has been misused.
  • You must be at least 18 and use the Service for business purposes. The Service is not intended for consumers.

3. Free trial

New companies may receive a free trial (currently 14 days) with the limits shown at sign-up. No payment details are needed for the trial. When it ends, the company becomes read-only until a paid plan starts: you can still view and export your data. We may end or change trial offers at any time.

4. Plans, fees and payment

  • Prices, included users, buildings and storage are shown on our pricing page or in your order or invoice. Fees are charged per company, monthly or yearly, in advance, in US dollars.
  • Invoices are due within 30 days unless the invoice says otherwise. Fees do not include taxes; you pay any sales, use or similar taxes that apply, other than taxes on our income.
  • If a payment is overdue, the company stays fully usable for a grace period (currently 14 days), after which it becomes read-only until payment is received.
  • We may change prices for future billing periods by giving at least 30 days' notice. A change does not affect a period you have already paid for.
  • Except where the law requires otherwise or we agree in writing, fees already paid are not refundable, including for unused time in a billing period. We may give refunds or credits at our discretion.

5. Your data

  • You own your data. “Customer Data” means everything you or your users put into the Service: buildings, leases, tenants and their contacts, deals, documents, photos, logos and settings.
  • You give us permission to store, copy, process and display Customer Data only as needed to provide, secure, back up and support the Service, and as your users direct (for example when they create a share link or send an invitation).
  • We do not sell Customer Data, use it for advertising, or use it to train artificial-intelligence models.
  • You are responsible for the accuracy of Customer Data and for having the right to upload it, including any personal information about tenants, residents, brokers or other people. Our Privacy notice explains how we handle personal information.
  • Export: owners and admins can download all Customer Data (every table and every document) at any time, including while the company is read-only.
  • Deletion: when a company is deleted, it can be restored for 30 days and is then erased. Copies in our backups are removed as those backups expire, at most 12 months later.

6. Share links and your users' actions

Owners, admins and other permitted roles can create read-only share links to plans and figures. Anyone with the link can see what it covers until it expires or is turned off. You decide what to share and with whom, and you are responsible for the actions of your users.

7. Acceptable use

You and your users must not:

  • break the law, or upload content you have no right to use, or that is unlawful, harmful or infringing;
  • upload malware or try to get into accounts, data or systems you are not allowed to access, including other customers' data;
  • probe, scan or load-test the Service, get around its limits or security, or disrupt it;
  • copy, resell or reverse-engineer the Service, or use it to build a competing product;
  • use automated means to access the Service except through features we provide.

8. Suspension

We may suspend access to a company, a user or a share link if: payment is seriously overdue; there is a breach of these Terms; or it is needed to protect the Service, other customers or the law. Where reasonable we will tell you first and give you a chance to fix the problem. While a company is suspended its data is kept, not deleted, and owners and admins can still see invoices and contact support. We restore access once the reason is resolved.

9. Security, backups and availability

  • We use reasonable technical and organizational measures to protect Customer Data, including a separate database for each company, encrypted connections, role-based access and optional two-step verification.
  • We back up the Service's databases every night. Backups are a safety net, not a substitute for your own exports of important records.
  • We aim to keep the Service available at all times, but it may occasionally be unavailable for maintenance, updates or reasons outside our control. Unless a separate agreement says otherwise, we do not promise a specific uptime.
  • If we become aware of unauthorized access to Customer Data, we will notify affected Customers without undue delay and as the law requires.

10. Service providers

We use trusted providers to run the Service, for example for hosting and storage, sign-in, email delivery and maps. They process data only to provide their services to us. The current list is in our Privacy notice.

11. Support

Support is provided by email and through the help form in the app, on business days. We will make reasonable efforts to respond promptly.

12. Our property and feedback

LayerPlans, its software, design and content (other than Customer Data) belong to us and our licensors. You receive a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you send us ideas or feedback, we may use them without obligation to you.

13. Confidentiality

Each party will keep the other's non-public information confidential, use it only for this agreement, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice where allowed).

14. Disclaimer

Except as expressly stated in these Terms, the Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. Figures, charts, alerts and other outputs depend on the data you enter; you remain responsible for checking them before relying on them for business, financial or legal decisions.

15. Limitation of liability

To the extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible; and (b) each party's total liability arising from these Terms is limited to the fees the Customer paid to LayerPlans in the 12 months before the event giving rise to the claim. These limits do not apply to the Customer's payment obligations, to breaches of section 7 (Acceptable use), or to liability that cannot be limited by law.

16. Indemnity

You will defend and indemnify LayerPlans against third-party claims arising from Customer Data or from your or your users' breach of these Terms or of the law. We will tell you promptly about any such claim and let you control its defense.

17. Term, cancellation and termination

  • These Terms apply from sign-up until the subscription ends. Subscriptions renew for the same period unless cancelled. You may cancel at any time by contacting us; cancellation takes effect at the end of the paid period.
  • Either party may end the agreement if the other seriously breaches it and does not fix the breach within 30 days of notice.
  • After the subscription ends, the company becomes read-only so you can export your data. You may ask us to delete it sooner. Sections that by their nature should continue (for example fees owed, data, confidentiality, disclaimers, liability and governing law) continue after the agreement ends.

18. Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and, for material changes, tell owners and admins by email or in the app at least 30 days before they take effect. If you do not agree to the changes, you may cancel before they take effect.

19. Governing law

These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-law rules. The state and federal courts located in Cook County, Illinois have exclusive jurisdiction, and both parties agree to it.

20. General

Neither party may transfer this agreement without the other's consent, except to a successor in a merger or sale of its business. Neither party is responsible for delays caused by events beyond its reasonable control. If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver. Notices to us go to support@layerplans.com; notices to you go to your company's owner email addresses.
